V2 Bylaws: Final Draft

Good evening,

As per Jean-Pierre Laisné's instruction, and in view of next week Board
meeting, please find attached the final draft of the new organization's
Bylaws.

These bylaws have been jointly written with, and validated by, Jean-Marc
Fournier and François Bertin, lawyers with France Telecom and Bull
respectively to whom I wish to express our gratitude as this document
would not have been completed without their efficient help.

These Bylaws have been approved by OrientWare.

Please note:
- OW2 is the codename for the new organization not the definitive name
which should be decided before registering the new organization.

- The bylaws deal with the most structural aspects of the organization;
more operational details will be delt with in the Book of Procedures.

- Only two members will actually appear in the bylaws and sign them -Bull
and a member from OrientWare. There is no privilege attached to that; it
is only for efficiency reason and to keep the balance between ObjectWeb
and OrientWare.

- Although this final draft has been closely controled by OrientWare in
its final stages, we still awaits confirmation of which OrientWare member
will actually sign the Bylaws.

- The new organization will concretely be launched by an Interim Board
and Management Office established to conduct all initial operations,
including signing new members.

- Membership Agreement and IPR Policy document should be finalized within
the next couple of weeks.

- Please report all typos.
